Terms Governing the Use of DBE Media Services

These Terms of Service govern your use of the DBE Media website and any hosting, maintenance, development, or related services provided by DBE Media.

Last updated: July 27, 2026

Acceptance of These Terms

By accessing this website, submitting an inquiry, approving a proposal, making a payment, or using DBE Media services, you agree to these Terms of Service.

If you do not agree with these terms, do not use the website or purchase DBE Media services.

About DBE Media

DBE Media provides managed WordPress hosting, website maintenance, infrastructure management, website development, and related technical services.

The DBE Media website is available at https://recovery.dbemedia.com/.

Service Approval

DBE Media does not operate as an automatic or self-service hosting provider. Websites and projects are reviewed before they are accepted.

Submission of an inquiry, application, or payment request does not require DBE Media to accept a project or provide services.

DBE Media may decline a project when the website, infrastructure, requested work, access conditions, project scope, or client expectations are not a suitable fit.

Scope of Services

The services included in an engagement are limited to the scope stated in the applicable proposal, invoice, service description, or written agreement.

Services may include:

  • Managed WordPress hosting
  • SSL certificate configuration
  • Website backups
  • Uptime and security monitoring
  • WordPress core updates
  • Plugin and theme updates
  • Website migration and onboarding
  • Website planning and development
  • Infrastructure troubleshooting
  • Other specifically approved technical work

Any service not expressly included in the approved scope is considered additional work and may require a separate estimate, approval, and payment.

Managed Hosting and Maintenance

Managed hosting and maintenance cover the technical operation and stability of the website within the agreed DBE Media infrastructure.

Unless specifically included in writing, managed hosting does not include:

  • Ongoing content entry or editing
  • Graphic design
  • New page creation
  • New features or custom programming
  • Search engine optimization campaigns
  • Advertising or marketing management
  • Copywriting
  • Third-party account administration
  • Support for unrelated devices, networks, or software

Requests outside the hosting and maintenance scope may be quoted and billed separately.

Website Build Requirement

Website builds are provided only for websites that will be hosted and maintained within the DBE Media infrastructure unless DBE Media agrees otherwise in writing.

DBE Media does not generally provide website builds intended for unmanaged third-party hosting environments.

Client Responsibilities

You agree to provide accurate and timely information necessary to perform the services, including:

  • Website and domain access
  • Hosting and DNS credentials when required
  • Content, images, branding, and business information
  • Third-party account access when required
  • Approvals and feedback within a reasonable time
  • Accurate billing and contact information

You are responsible for ensuring that materials you provide may legally be used, published, copied, or distributed.

Delays in providing access, content, approvals, or payment may delay the project or service.

Acceptable Use

You may not use DBE Media services or infrastructure for unlawful, abusive, deceptive, or harmful activity.

Prohibited activity includes:

  • Distributing malware or malicious code
  • Attempting unauthorized access to systems or accounts
  • Sending spam or unsolicited bulk communications
  • Hosting illegal or infringing material
  • Engaging in fraud or deceptive conduct
  • Interfering with the operation or security of the infrastructure
  • Using excessive resources in a way that harms other hosted websites
  • Violating applicable laws or third-party rights

DBE Media may suspend or terminate services when necessary to protect the infrastructure, other clients, service providers, or the public.

Fees and Payment

Fees are stated in the applicable service page, proposal, invoice, payment request, or written agreement.

Payment is required before work begins unless different terms are approved in writing.

Recurring hosting fees must be paid according to the selected monthly or annual billing schedule.

Website builds, migrations, repairs, and other project work may require a deposit before scheduling or commencement.

Additional work outside the approved scope will not begin until the scope, price, and payment requirements have been accepted.

Late and Unpaid Accounts

Services may be suspended when an invoice remains unpaid after its due date.

Suspension may include disabling website access, maintenance, backups, monitoring, administrative access, or other services until the account is brought current.

DBE Media may require payment of all outstanding balances before restoring a suspended service.

Continued nonpayment may result in termination of service or migration of the website away from DBE Media infrastructure.

Renewals and Cancellation

Recurring services continue until canceled by the client or terminated by DBE Media.

Cancellation requests should be submitted through the DBE Media contact form or another written communication method approved by DBE Media.

Monthly service fees already paid are generally not prorated for partial billing periods.

Prepaid annual hosting is priced at a discounted annual rate and is generally nonrefundable after the service period begins, except where required by law or agreed otherwise in writing.

Website Migration After Cancellation

Upon cancellation, DBE Media will provide reasonable cooperation to transfer an eligible website to another provider after all outstanding balances are paid.

Migration work, packaging, technical support, DNS changes, troubleshooting, or third-party coordination may be billed separately.

The client is responsible for establishing a compatible replacement hosting environment and providing the access required for migration.

DBE Media is not responsible for the performance, security, compatibility, or availability of a website after it leaves the DBE Media infrastructure.

Project Scheduling and Delays

Project schedules are estimates unless a specific deadline is expressly guaranteed in writing.

Timelines may change because of client delays, scope changes, third-party failures, technical conditions, unavailable credentials, vendor review periods, or circumstances outside DBE Media’s reasonable control.

DBE Media is not responsible for delays caused by incomplete content, missing access, delayed approvals, unpaid invoices, or third-party providers.

Changes to Project Scope

Requests that change the approved requirements, design, functionality, integrations, content volume, or delivery schedule may be treated as a scope change.

Scope changes may require a revised estimate, additional payment, and an updated schedule before the work proceeds.

Third-Party Services

DBE Media may use or integrate third-party services such as domain registrars, payment processors, cloud infrastructure providers, email providers, plugins, themes, APIs, analytics platforms, and software services.

Third-party services are governed by their own terms, pricing, availability, and privacy practices.

DBE Media is not responsible for outages, policy changes, pricing changes, service restrictions, discontinued products, security incidents, or other failures caused by third-party providers.

Domains and Third-Party Accounts

Unless agreed otherwise in writing, clients should retain ownership and control of their domain registrations and critical third-party business accounts.

The client is responsible for renewing domains, licenses, subscriptions, and services not expressly included in the DBE Media service.

DBE Media is not responsible for losses caused by expired domains, canceled third-party accounts, invalid payment methods, inaccessible accounts, or credentials controlled by another party.

Backups and Recovery

DBE Media uses reasonable backup and recovery procedures for websites covered by an active managed hosting plan.

Backups reduce risk but do not guarantee that every file, database record, transaction, message, or revision can be recovered.

Recovery may be limited by backup timing, corruption, third-party failure, malicious activity, software defects, or circumstances outside DBE Media’s control.

Security

DBE Media uses reasonable technical and administrative measures intended to protect managed websites and infrastructure.

No website, network, server, plugin, application, or storage system can be guaranteed to be completely secure.

The client agrees to use secure passwords, protect account credentials, restrict unnecessary access, and notify DBE Media promptly of suspected unauthorized activity.

Ownership of Client Materials

The client retains ownership of original content, trademarks, photographs, business information, and other materials supplied by the client.

The client grants DBE Media permission to use those materials as reasonably necessary to perform the approved services.

The client represents that it has the necessary rights and permissions for all materials it provides.

Ownership of Work Product

Upon full payment, the client receives the rights stated in the applicable proposal or project agreement for the completed website and approved deliverables.

DBE Media retains ownership of its pre-existing systems, reusable code, workflows, templates, methods, internal tools, infrastructure configurations, operational knowledge, and general development techniques.

Third-party software, plugins, themes, fonts, stock media, and other licensed materials remain subject to their respective license terms.

Portfolio Use

Unless confidentiality has been agreed to in writing, DBE Media may identify completed public-facing work in its portfolio, case studies, proposals, or marketing materials.

DBE Media will not intentionally disclose confidential credentials, private business records, unpublished information, or sensitive technical access details.

Confidential Information

Each party agrees to use reasonable care when handling nonpublic information received in connection with a project or service.

Confidential information does not include information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.

No Guaranteed Results

DBE Media does not guarantee search rankings, traffic levels, sales, revenue, conversions, audience growth, business performance, or uninterrupted website availability.

Technical services can improve stability and reduce risk, but no website or infrastructure service can eliminate every outage, defect, attack, compatibility issue, or third-party failure.

Disclaimer of Warranties

To the maximum extent permitted by law, the website and services are provided on an “as available” basis.

Except for obligations expressly stated in a written agreement, DBE Media disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement.

Limitation of Liability

To the maximum extent permitted by law, DBE Media will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes lost revenue, lost profits, lost data, lost opportunities, business interruption, reputational harm, or losses caused by third-party services.

To the maximum extent permitted by law, DBE Media’s total liability arising from a service will not exceed the amount paid by the client to DBE Media for that specific service during the six months immediately preceding the event giving rise to the claim.

Nothing in these terms excludes liability that cannot legally be excluded or limited.

Indemnification

You agree to indemnify and hold DBE Media harmless from claims, losses, damages, liabilities, and reasonable expenses arising from:

  • Materials or instructions you provide
  • Your violation of law or third-party rights
  • Your misuse of the website or services
  • Your breach of these Terms of Service

Suspension and Termination

DBE Media may suspend or terminate services for nonpayment, misuse, security risk, prohibited activity, repeated scope violations, abusive conduct, loss of required third-party services, or another material breach of these terms.

When practical, DBE Media will provide notice and an opportunity to correct the issue before termination. Immediate action may be taken when necessary to protect systems, data, clients, providers, or the public.

Dispute Resolution

Before filing a formal claim, each party agrees to make a good-faith effort to resolve the dispute through direct written communication.

Nothing in this section prevents either party from seeking urgent relief when necessary to protect confidential information, intellectual property, systems, accounts, or infrastructure.

Governing Law

These Terms of Service are governed by the laws of the State of Hawaii, without regard to conflict-of-law principles.

Any legal proceeding that is not otherwise resolved by agreement will be brought in a court of competent jurisdiction located in the State of Hawaii, unless applicable law requires otherwise.

Changes to These Terms

DBE Media may update these Terms of Service when its website, services, pricing, infrastructure, policies, or legal obligations change.

The current version will be published on this page with an updated revision date.

Continued use of the website or services after updated terms become effective constitutes acceptance of the revised terms to the extent permitted by law.

Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

Entire Agreement

These Terms of Service, together with any approved proposal, invoice, service description, privacy policy, or written agreement, form the agreement governing the applicable services.

When a signed written agreement conflicts with these website terms, the signed written agreement controls for that specific engagement.
